1. Acceptance of Terms
By accessing, browsing, or utilizing the services, websites, APIs, or software platforms provided by Uptimise IT (“Uptimise IT”, “we”, “our”, or “us”), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. If you are entering into this agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these terms.
2. Scope of Services & Engineering Engagements
Uptimise IT provides enterprise software engineering, AI-native software factory systems, digital product development, Web3 development, and strategic technology consulting. Statements of Work (SOWs), Master Service Agreements (MSAs), and service orders executed between Uptimise IT and its clients will govern specific delivery milestones, service levels, and commercial terms.
3. Intellectual Property Rights
Unless explicitly agreed upon in a client-specific Master Services Agreement, all custom deliverables developed exclusively for a client become the client’s intellectual property upon receipt of full contractual payment. Uptimise IT retains ownership of its pre-existing proprietary frameworks, software accelerators, developer tooling, and foundational algorithms (“Background IP”).
4. Confidentiality & Data Security
Both parties agree to protect proprietary and confidential information with commercially reasonable care. Uptimise IT adheres to strict international cybersecurity protocols and industry standards to safeguard client proprietary models, intellectual property, and system infrastructure.
5. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall Uptimise IT, its officers, employees, or partners be liable for any indirect, punitive, incidental, special, consequential, or exemplary damages arising out of or in connection with the use or inability to use our services.
